Terms of Service

Effective October 5, 2026

The short version: You can use Uncloud on your own computers for your household. Your files stay yours, and we don’t receive them. Uncloud is early software provided as is, and it isn’t a backup, so keep your own backups of anything important. California law applies.

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and Ethan Teng Consulting LLC (“we,” “us”). They cover the uncloud.life website (“the site”) and the Uncloud software, including the host app and the desktop app (“Uncloud”). By using the site or Uncloud, you agree to these Terms. If you don’t agree, don’t use them. Our Privacy Policy explains how we handle personal information.

You must be at least 18, or the age of majority where you live, to accept these Terms. If you set up Uncloud for your household, you’re responsible for the accounts you create for others, including children, and for their use of Uncloud.

2. Your license to use Uncloud

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use Uncloud on computers you own or control, for personal and household use. This includes builds you make from the source code we publish, following our instructions.

Uncloud’s source code is visible on GitHub, but it isn’t open source. Except as these Terms allow or the law permits, you may not copy, modify, distribute, sell, rent or sublicense Uncloud, create works based on it, or remove its notices. We and our licensors keep all rights not expressly granted.

Uncloud includes third-party components, such as Syncthing and Tailscale, under their own licenses, listed in our third-party notices. Those licenses govern those components, and nothing in these Terms limits the rights they give you.

3. Early access, pricing and trials

Uncloud is in early access. We may change, add or remove features, and some may not work as expected. Joining early access doesn’t commit you to buying anything.

Prices, founding offers and free trials are described on the site. If you buy a license, the price and any terms shown when you buy also apply. We may change prices for future purchases, but a founding price you’ve locked in applies as described in the offer you accepted.

4. Your files and responsibilities

Your files belong to you. These Terms give us no rights to your content, and we don’t receive it. Because Uncloud runs on your computers, you’re responsible for:

The site and Uncloud link to and work with services we don’t control, including Tailscale, Cloudflare, Syncthing, Dropbox, GitHub, YouTube, LaunchList and OWC. Their own terms govern your use of them, and we aren’t responsible for them. Some links on the site, such as the drive links on our storage page, are affiliate links, and we may earn a commission when you buy through them.

If you send us ideas or feedback, we may use them without restriction or any obligation to you.

8. Our intellectual property

The Uncloud name and logo, the site and its content, and Uncloud itself belong to us or our licensors. These Terms don’t give you any right to use our name or logo.

9. Disclaimers

The site and Uncloud are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don’t warrant that the site or Uncloud will be uninterrupted, secure or error-free, or that Uncloud won’t lose or damage your files.

10. Limitation of liability

To the fullest extent the law allows, we won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, files, profits or revenue, arising from or related to the site, Uncloud or these Terms, even if we’ve been told they’re possible. Our total liability for all claims relating to the site, Uncloud or these Terms is limited to the greater of $50 or the amount you paid us for Uncloud in the 12 months before the claim.

Some places don’t allow these exclusions or limits, so some of them may not apply to you.

11. Indemnity

To the extent the law allows, you’ll defend and indemnify us against any third-party claim, and the reasonable legal fees that come with it, arising from your content, your use of the site or Uncloud, or your breach of these Terms.

12. Ending these Terms

You can stop using the site and Uncloud at any time. We may suspend or end your license if you break these Terms. When your license ends, you must stop using Uncloud and delete your copies of it; your files stay on your computers. Sections 4 and 7 through 15 continue to apply after these Terms end.

13. Changes to these Terms

We may update these Terms. We’ll post changes here and update the effective date, and for material changes we’ll give notice on the site or by email before they take effect. If you keep using the site or Uncloud after a change takes effect, you accept the updated Terms.

14. Governing law and disputes

California law governs these Terms, without regard to its conflict-of-laws rules. Any dispute arising from these Terms, the site or Uncloud will be resolved only in the state or federal courts located in California, and you and we consent to their jurisdiction. Either of us may instead bring a claim in small claims court if it qualifies.

15. General

These Terms and our Privacy Policy are the entire agreement between you and us about the site and Uncloud, unless we’ve signed a separate agreement with you. If any part of these Terms can’t be enforced, the rest stays in effect. If we don’t enforce a provision, that isn’t a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a merger, acquisition or sale of our business.
